About
Breakout Labs is a venture capital firm specializing in early-stage, seed/startup and growth capital. The firm does not consider investments in companies that have raised more than $1 million in outside funds, and invests in the form of grants. It seeks to invest in sectors such as, biomedicine, food science, and clean energy. The firm typically invests in companies based in the United States. It considers investing between $0.05 million to $0.50 million in companies. All portfolio companies return a three percent royalty to the firm beginning after revenues exceed $0.1 million, and is capped at three times the amount of the grant. After the companies complete next round of financing, the firm shall be issued the same equity securities as issued in such next round calculated by dividing the amount of the grant by the applicable price per share or unit, discounted by 10 percent. In addition, it requires warrant coverage, initially equal to 6 percent of the foregoing securities; thereafter starting 12 months after the date of the grant, the warrant coverage will increase at a rate of 6 percent per month until the grantee receives at least $1.2 million of outside funding such as other grants, debt financing and/or equity financing. The firm seeks to have board observer and audit/ inspection rights. It may also fund portions of an overall project. Breakout Labs was founded in November, 2011 and is based in San Francisco, California.
