Brookside Equity Partners LLC is a private equity firm specializing in later stage, leveraged buyouts, strategic acquisitions, add-on acquisitions, recapitalizations, and fund of fund investments in small and mid-sized middle market and mature companies seeking long-term capital. The firm seeks to co-invest in growth capital and special situations. For fund of fund investments it focuses on private equity, growth, leverages buyout, and venture capital funds. The firm does not invest in early stage businesses, turnaround situations, and high technology businesses. It does not focus on any specific industry, but prefers to invest in the manufacturing, business services, financial services, consumer businesses, specialty building products, environmental and industrial services, valued-added distribution, specialty manufacturing, Specialty chemicals, Plastics, food and food ingredients, consumer products and services, healthcare, entertainment, research and media sectors. In case of add-on acquisitions, the firm focuses on manufacturers or marketers of plastic products; plastics re-processors; re-compounders; re-grinders; community newspaper publishers; electrical products distributors and manufacturers with a focus on distributors and manufacturers of branded electrical components used for construction (residential and commercial), maintenance, and repair applications; furniture designers, manufacturers, importers and distributors with a focus on residential furniture designers, manufacturers, importers and distributors; environmental compliance providers with a focus on candidates that provide environmental compliance services to customers in the downstream energy and petrochemical industries, providers of similar services to the midstream and upstream energy companies industries, and providers of leak repair services to the same customer base; rehabilitation and wellness products with a focus on manufacturers and/or marketers of rehabilitation and wellness products sold into a clinical markets, including but not limited to physical therapy, occupational therapy, chiropractor, personal/fitness trainer, and physicians; food flavorings and food ingredients manufacturers with a focus on manufacturers of food flavorings and / or specialty intermediate food ingredients and companies focused on dry and liquid flavorings for either food or beverage products; and aluminum products manufacturers. The firm invests in companies headquartered in North America. It targets companies with annual revenue of at least $15 million for the two prior years and up to $150 million or more; EBITDA from $5 million for the two prior years and up to $25 million or more; gross margins in excess of 25 percent and EBITDA margins in excess of 10 percent. In case of food flavorings and food ingredients manufacturers, the firm prefers to invest in companies with a minimum revenue of $3 million, and in case of furniture designers, manufacturers, importers and distributors it invests in firms with preferred revenues between $5 million and $40 million. The firm typically invests between $3 million and $8 million in a transaction, although larger transactions can be accommodated through a co-investment partnership with a large financial institution. The investment is generally structured as subordinated debt with interest paid on a current basis and warrants to purchase capital stock. It focuses on private equity investments, including direct control investments and direct co-investments. The firm co-invests in both majority and minority positions on a very selective basis in private funds or special opportunity situations.
