NewCastle Partners, LLC is a private equity firm specializing in investments in primarily buy-outs, recapitalizations, management buyouts, growth capital transactions, and industry consolidations. It seeks to invest in and acquire middle market companies. The firm provides financing for working capital, product line extensions, corporate acquisitions, and capital investments. Under recapitalizations, it provides shareholders with partial or full financial liquidity; permits for the diversification of wealth; provides for the transfer of ownership from one generation to another or to a management group; and resolves complex estate planning issues and diverging objectives of shareholders. For management buyouts, the firm looks for the acquisition of smaller non-strategic/orphaned divisions or product lines from larger corporations. It primarily invests in the businesses that manufacture and/or distribute tangible products in family-owned businesses, niche manufacturing and specialty distribution companies based in the United States. The firm seeks to invest in companies with enterprise value between $10 million to $40 million, annual revenue between $10 million to $50 million and EBITDA greater than $2 million. The firm invests in companies with revenues between of $10 million and $100 million and a minimum profit before tax of no less than $2 million with pretax margin in excess of 15 percent. It prefers to take a seat on the board of directors of its portfolio companies. The firm typically have management interest in maintaining significant equity ownership and day-to-day control of the business in its portfolios companies. The firm invests its own capital.
